Nancy’s solution-driven practice focuses on helping business entities and municipal corporations to efficiently resolve legal disputes and minimize risk. Nancy represents clients in state and federal court, arbitration proceedings, and mediations in connection with a broad range of legal disputes, including breach of contract, breach of fiduciary duty, real estate, fraud, misrepresentation, employment, and construction disputes.

Nancy routinely advises companies, boards of directors, senior management, and housing entities, such as condos and co-ops, on a full range of corporate governance and compliance matters, including their respective duties and responsibilities, board and committee structure and composition, board and management evaluations, and best practices. Additionally, she provides advice and support in crisis management situations, including conflict of interest/related party transactions, director elections, government investigations, and internal/committee investigations.

  • Representing business entities in a broad range of litigation and arbitration matters that has resulted in over $230 million in combined awards or settlements.
  • General Counsel to the Riverbay Corporation (a/k/a “Co-op City”), the largest residential development in the United States, consisting of over 15,000 residential units, over 130 commercial stores and 50 commercial offices, and a 40mw power plant.
  • General Counsel to the Riverbay Fund, Inc., a Bronx-based not-for-profit corporation that serves the Co-op City community.
  • Representing a private company and joint venture partner in an expedited breach of contract dispute over their termination of a billion-dollar hotel purchase agreement, resulting in favorable settlement terms that included a reduction in the purchase price by approximately $100 million.
  • Representing a UK-based public corporation in corporate raiding and unfair competition action and related arbitration, resulting in a multimillion-dollar consolidated arbitration award and a $100 million settlement.
  • Representing a former CFO of a public company in a four-month securities fraud class action jury trial, resulting in a no-liability verdict.
  • Representing a private investment corporation and its independent directors in an SEC civil enforcement action, resulting in a favorable settlement.
  • Representing a Harlem-based not-for-profit corporation in multiple breach of lease actions, resulting in a favorable consolidated settlement that saved the non-profit over $300,000.
  • Representing a Bronx-based private educational institution in breach of contract and negligence action, resulting in dismissal of the action after a successful motion to dismiss.
  • Representing companies in government investigations and inquiries, including investigations conducted by the SEC, DOJ, FINRA, and the New York Attorney General.
